Furthermore, the payment of any project deposit constitutes formal acceptance of these Terms of Use by the Client, regardless of whether a separate agreement has been signed.

These terms apply to all visitors, users, and others who access or use the service.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on C&L Web Design's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

10. Deposits and Cancellations

A deposit of 50% of the total project fee is required before any work is scheduled or commenced. The deposit secures a project booking, reserves development capacity, and covers initial project setup, planning, administrative work, and the allocation of resources.

For the purposes of these Terms, work is deemed to have commenced when any of the following occurs (whichever is earliest):

• (a) project planning or scoping begins;
• (b) design, development, research, or preparation work is undertaken;
• (c) project time is scheduled or reserved for the Client; or
• (d) access credentials, assets, or information are requested or reviewed.

Once work has commenced, the deposit becomes non-refundable in the event of cancellation, postponement, non-cooperation, or failure to proceed by the Client. This reflects the time, resources, and opportunity cost incurred by the Company.

If the Client cancels before work has commenced, any refund of the deposit is at the Company's discretion and may be reduced to account for administrative time, preparation, and costs already incurred.

The deposit is not a penalty and does not represent a prepayment for specific deliverables. It does not limit the Company's right to invoice for work completed beyond the value of the deposit.

Nothing in this clause affects the Client's statutory rights. Where the Company is in material breach of contract, any refund due will be limited to the proportion of fees paid for services not yet provided.

11. Delivery of Services

All services provided by the Company shall be delivered remotely via video conferencing, telephone, or other digital communication methods. We do not offer in-person meetings or services.

Nothing in this clause affects the Client's statutory rights. Where the Company is in material breach of contract, any refund due will be limited to the proportion of fees paid for services not yet provided.
